1. Acceptance of Terms
By accessing or using InvoiceFlow ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree with any part of these Terms, you must not access or use the Service.
These Terms constitute a legally binding agreement between you and InvoiceFlow. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
2. Description of Service
InvoiceFlow provides a cloud-based invoicing platform that enables users to create, send, manage, and track invoices. Our Service includes features such as:
- Invoice creation with customizable templates
- Client management and contact storage
- Payment tracking and reminders
- Recurring invoice automation
- PDF generation and email delivery
- Dashboard analytics and reporting
- Multi-currency support
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes that may affect their use of the Service.
3. User Accounts
To access certain features of the Service, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information to keep it accurate and complete
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized access or use of your account
You may not share your account credentials with third parties or allow others to access your account. We reserve the right to disable any account at any time if we believe you have violated these Terms.
4. Subscription Plans and Payment Terms
InvoiceFlow offers various subscription plans with different features and pricing. By subscribing to a paid plan, you agree to:
- Pay all applicable fees as described at the time of purchase
- Provide valid and current payment information
- Authorize us to charge your payment method for recurring subscription fees
- Be responsible for all taxes applicable to your subscription
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Fees are non-refundable except as expressly set forth in these Terms or required by applicable law. We reserve the right to change our pricing with 30 days' notice to existing subscribers.
5. Refund Policy
We want you to be satisfied with our Service. Our refund policy is as follows:
- Monthly subscriptions: You may cancel at any time. No refunds are provided for partial months, but you will retain access until the end of your billing period.
- Annual subscriptions: If you cancel within the first 14 days of your initial subscription, you may request a full refund. After 14 days, no refunds will be provided, but you will retain access until the end of your annual billing period.
- Service issues: If you experience significant service disruptions caused by us, we may, at our discretion, provide prorated credits or refunds.
To request a refund, please contact our support team at billing@invoiceflow.com with your account details and reason for the refund request.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:
- Use the Service to send fraudulent, deceptive, or misleading invoices
- Violate any applicable local, state, national, or international laws or regulations
- Transmit any material that is defamatory, obscene, threatening, or invasive of privacy
- Distribute malware, viruses, or any other malicious code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or servers connected to the Service
- Use automated scripts, bots, or other means to access the Service without permission
- Resell, sublicense, or provide access to the Service to unauthorized third parties
- Use the Service for any illegal activities, including money laundering or tax evasion
We reserve the right to investigate and take appropriate action against anyone who violates these prohibitions, including removing content, suspending or terminating accounts, and reporting to law enforcement.
7. User Content and Data
You retain ownership of all data, content, and materials you upload or create using the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to:
- Store, process, and display your User Content as necessary to provide the Service
- Create backups and copies for data protection purposes
- Aggregate and anonymize data for analytics and service improvement
You represent and warrant that you have all necessary rights to the User Content you upload and that such content does not infringe any third-party intellectual property rights. You are solely responsible for the accuracy and legality of your invoices and business information.
8. Data Protection and Privacy
We are committed to protecting your personal data and privacy. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We implement appropriate technical and organizational measures to protect your data, including:
- Encryption of data in transit and at rest
- Regular security assessments and updates
- Access controls and authentication mechanisms
- Secure data backup and recovery procedures
By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to our data practices as described therein.
9. Intellectual Property
The Service, including its original content, features, functionality, design, and underlying technology, is owned by InvoiceFlow and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Our trademarks, logos, service marks, and trade names may not be used without our prior written consent. Nothing in these Terms grants you any right, title, or interest in our intellectual property.
You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part thereof without our express written permission.
10. Service Level and Availability
We strive to maintain high availability of our Service but do not guarantee uninterrupted or error-free operation. We target 99.9% uptime for our core services, excluding scheduled maintenance.
Scheduled maintenance will be performed during low-traffic periods when possible, and we will provide advance notice for significant maintenance windows. Emergency maintenance may be performed without notice to address critical security or operational issues.
We shall not be liable for any temporary unavailability of the Service due to maintenance, upgrades, or circumstances beyond our reasonable control.
11. Third-Party Services and Links
The Service may integrate with or contain links to third-party websites, services, or applications ("Third-Party Services"). These Third-Party Services are not under our control, and we are not responsible for their content, privacy policies, or practices.
Your use of Third-Party Services is subject to their respective terms and conditions. We encourage you to review the terms and privacy policies of any Third-Party Services you access through our Service.
We do not endorse or assume any responsibility for any Third-Party Services, and your interactions with them are solely between you and the third party.
12. Termination
You may terminate your account at any time by contacting our support team or using the account deletion feature in your settings. Upon termination:
- Your access to the Service will be revoked
- We may retain your data for a reasonable period to comply with legal obligations
- You may request export of your data prior to account deletion
We may suspend or terminate your account and access to the Service immediately, without prior notice, if:
- You breach these Terms
- Your use of the Service poses a security risk or may cause harm to others
- We are required to do so by law
- Your account has been inactive for an extended period
Termination does not relieve you of any obligations incurred prior to termination, including payment of any outstanding fees.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Service will be accurate or reliable
- Any errors in the Service will be corrected
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVOICEFLOW, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages resulting from unauthorized access to or alteration of your data
- Damages resulting from any third-party content or services
Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
These limitations apply regardless of the legal theory on which the claim is based, even if we have been advised of the possibility of such damages.
15. Indemnification
You agree to indemnify, defend, and hold harmless InvoiceFlow and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Service
- Your User Content
- Your violation of any rights of a third party
- Your violation of any applicable laws or regulations
16. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to:
- Acts of God, natural disasters, or severe weather events
- War, terrorism, civil unrest, or government actions
- Epidemics, pandemics, or public health emergencies
- Power outages, internet service disruptions, or telecommunications failures
- Cyberattacks, hacking, or other security incidents beyond our control
The affected party shall give prompt notice to the other party and shall use reasonable efforts to mitigate the effects of the force majeure event.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last updated" date at the top of this page
- Notify you by email or through the Service for material changes
- Provide at least 30 days' notice before changes take effect for significant modifications
Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
18. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service shall be resolved as follows:
Informal Resolution: Before initiating formal proceedings, you agree to contact us at legal@invoiceflow.com to attempt to resolve the dispute informally. We will work in good faith to address your concerns within 30 days.
Arbitration: If informal resolution is unsuccessful, any dispute shall be finally resolved by binding arbitration in accordance with the rules of the appropriate arbitration association. The arbitration shall be conducted in English, and the arbitrator's decision shall be binding and enforceable in any court of competent jurisdiction.
Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which InvoiceFlow is incorporated, without regard to its conflict of law provisions.
You agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction for the resolution of any disputes not subject to arbitration.
20. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.
21. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and InvoiceFlow regarding your use of the Service.
These Terms supersede any prior agreements, understandings, or arrangements between you and us, whether written or oral. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
